Delivery of Client Content
Client Content shall mean any materials provided by Client for incorporation in the Web Site, including, but not limited to, any images, photographs, illustrations, graphics, audio clips, video clips or text. Client shall deliver the Client Content to Acura in an electronic file format specified and accessible by Acura (e.g., txt, gif) or as otherwise specified in the Specifications. Any services required to convert or input Client Content not set forth in the specifications shall be charged as Additional Services. Acura Pty Ltd will not commence development of the website until Client Content is received in its entirety.

Proprietary Rights of Client.
As between Client and Acura Pty Ltd, Client Content shall remain the sole and exclusive property of Client, including,without limitation, trademarks, patents, trade secrets, and any other proprietary rights.

Proprietary Rights of Developer
Subject to Client's ownership interest in Client Content, all materials, including, but not limited, to any computer software, script, programming code, data, artwork, design, information or HTML script developed or provided by Acura Pty Ltd or its suppliers and any trade secrets, knowhow, methodologies and processes related to Acura Pty Ltd’s products or services, shall remain the sole and exclusive property of Acura Pty Ltd or its suppliers. Under the Copyright Act, the creator of an artistic works is the first owner of copyright.

Payment
Customer agrees that any changes customer makes to the specification may adversely affect the original estimate. Extra time incurred above and beyond the original specification will be billed at an hourly rate of $120. The client agrees to pay for the Acura Pty Ltd’s fee and all expenses, as set forth above, within 15 days of invoice. All unpaid balances shall accrue interest at 1 1⁄2% per month. In addition, failure of Client to fully pay any fees within 30 days after the applicable due date shall be deemed a material breach of this Agreement justifying suspension of the performance of the Services by Acura Pty Ltd, and will be sufficient cause for immediate termination of this Agreement by Acura Pty Ltd. Acura Pty Ltd may withdraw the Web Site from the World Wide Web (if hosted by or on behalf of Acura) forthwith in this event. Any such suspension does not relieve Client from paying past due fees plus interest. Client shall be liable for any costs associated with such fee recovery, including, but not limited to, legal costs, court costs, and collection agency fees.

Limitation of Liability
Acura is not responsible for any pre-recorded, patented or coyrighted sounds, music, text, images etc that the client wishes to utilise on their website. This is at the sole risk of your company. Acure will not be liable, profesionally or legally for any content of the website. Whilst all care is taken with system security, Acura will nto accept responsibility for loss of data or security problems. We take all the care needed to prevent this, but take no responsibility should this occur. Acura provides no guarantee regarding the availability of the service. The client agrees to indemnify Acura against any loss by the client resulting from any failure or non-availability of service. The client also agrees to indemnify Acura against any claim by a third party for any damages or loss incurred as a result of the use by the client of the services provided by Acura.

Search Engine Optimisation and Marketing
Acura provides no guarantee regarding placement of search engine positions but strives to achieve maximum exposure for the client.
